These Terms of Service ("Terms") govern your access to and use of the Arithmis platform and services provided by Arithmis, LLC ("Arithmis," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
Arithmis provides a CPG (Consumer Packaged Goods) operating system platform that enables brands to manage purchase orders, production, finance, inventory, deductions, retailer relationships, and related business operations ("Service"). Access to the Service is granted by invitation or approved application only.
You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access at hello@arithmis.org.
Each account is associated with a single organization. You may not share accounts across organizations or use the Service on behalf of a competitor of Arithmis without our written consent.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
You retain full ownership of all data, content, and information you submit to the Service ("Customer Data"). You grant Arithmis a limited, non-exclusive license to store, process, and display Customer Data solely as necessary to provide the Service.
Arithmis does not claim any ownership rights in your Customer Data. We will not use your Customer Data for any purpose other than providing and improving the Service as described in our Privacy Policy.
The Service, including its software, design, features, and content (excluding Customer Data), is owned by Arithmis and protected by intellectual property laws. These Terms do not grant you any rights to Arithmis's intellectual property except the limited right to use the Service as described herein.
Access to the Service is subject to a subscription fee as described on our pricing page. Fees are billed monthly or annually in advance. All fees are non-refundable except as required by law or as explicitly stated in a separate agreement.
We reserve the right to change pricing with 30 days written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
We strive to provide reliable, uninterrupted access to the Service but do not guarantee 100% uptime. We may perform maintenance or updates that temporarily affect availability. We will endeavor to provide advance notice of scheduled maintenance.
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Arithmis does not warrant that the Service will be error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. The Service is a tool to assist your business operations; it does not constitute legal, financial, or professional advice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARITHMIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
ARITHMIS'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ARITHMIS IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Arithmis and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. We will provide you a reasonable opportunity to export your Customer Data prior to deletion.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Your continued use of the Service after the effective date of updated Terms constitutes acceptance.
